Phala Ephemeris SDK Licence Agreement
This agreement governs your use of the Phala Ephemeris SDK: the Phala ephemeris engine as a compiled library, the ephemeris data files it reads, the documentation, and the licence file we issue to you. By installing the SDK or using a licence file, you (the Licensee, the person or company named in the licence file) accept it.
1. What is licensed
The SDK computes positions of the Sun, Moon, planets and lunar nodes, a birth chart, the traditional Indian almanac day and eclipses, from data files derived from NASA JPL's DE441 planetary ephemeris, for any moment from 6000 BCE to 3000 CE. The engine, the file format, the fitted data files and the documentation are our work and remain our property. NASA JPL's DE441 is in the public domain; NASA does not endorse this product.
2. The grant
For the term in your licence file, we grant you a non-exclusive, non-transferable licence to:
- include the SDK in one product of yours (an app, a website's server, or a service), named by its application id in the licence file where one is named, and to distribute that product to its users with the SDK inside it, in compiled form only;
- make copies of the SDK for your own development, testing and backup.
"One product" means one application as its users know it, on any number of platforms (Android, iPhone, server), under one name. A second product needs a second licence.
3. The term and the licence file
The SDK checks the licence file when it opens the data files and refuses to open them when the file is missing, altered, issued for another product, or past the expiry date printed in it. The licence sold is:
| Licence | Fee | Expires |
|---|---|---|
| Annual | US $200 a year | one year and fourteen days after issue |
The fourteen days are grace, so a renewal that arrives late does not stop your product on the day. A renewal is a new licence file; nothing else extends one. Fees are due in advance and are not refunded once a licence file has been issued, except where the law requires. An outright licence (one with no expiry date) is available by separate written agreement at a price we quote on request: write to support@vedicphala.com. A licence file issued under such an agreement states its own term, and this agreement applies to it except where that agreement says otherwise.
4. What you may not do
- Redistribute the SDK, the data files or the licence file on their own, or make them available to anyone but the users of your one product in compiled form inside it.
- Sublicense, rent, lease or sell the SDK.
- Remove, disable or work around the licence check, or use a licence file issued to someone else.
- Reverse engineer, decompile or disassemble the engine or the data file format, except to the extent the law allows despite this clause.
- Use the SDK to build a product whose purpose is to offer the ephemeris itself as a service or a library to others.
- Remove our copyright notices.
5. Support for thirty days; no updates are owed
For thirty days after each licence file is issued, we answer your integration questions by email at support@vedicphala.com within a reasonable time. That is the support included in the fee. Beyond it we are not obliged to provide support, maintenance, corrections or updates of any kind. The SDK is licensed as the release you download; we may publish new releases, and whether one is offered to you, and on what terms, is at our discretion. A new release may need a new licence file. Your product keeps the version it has for as long as your licence runs.
6. Ownership and feedback
The SDK is licensed, not sold. You own your product; we own the SDK. If you send us suggestions or corrections, we may use them without obligation.
7. Warranty and liability
The SDK is provided "as is". We have measured the engine against NASA JPL Horizons and other references and publish the results, but we do not warrant that it is free of error, uninterrupted, or fit for a particular purpose, and the positions it computes are not advice of any kind. To the fullest extent the law allows, our total liability under this agreement is limited to the fees you paid us in the twelve months before the claim, and we are not liable for indirect, incidental or consequential loss. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
8. Termination
This agreement ends at the expiry of your last licence file, or earlier if you breach section 4 and do not cure the breach within thirty days of our notice. On termination you stop distributing new copies of your product with the SDK inside it; copies already with your users may stay. Sections 6 and 7 survive.
9. Governing law and disputes
This agreement is governed by the laws of the country in which we are established and operate, without regard to its conflict-of-laws rules. Nothing in this section deprives you of the protection of mandatory laws of your country of residence. We encourage you to contact us first so we can try to resolve any dispute informally.
